OIL & GAS INDEPENDENT CONTRACTOR AGREEMENT The oil and gas industry is highly dependent upon the individuals who undertake the work, such that it is extremely important that the contractual arrangements between those individuals and the company need to be clearly defined and established. Such a contract needs to be appropriately negotiated and drafted such that each side is properly protected and capable of realize the most from this particular independent contractor contract (while having the capacity to resolve problems and settle disputes). What should be noted is that independent contractor agreements need to be particularized to the circumstances, given the unique aspects of each contractual relationship. Particular aspects seen in such contracts have included: "Company shall pay Contractor at a standard day rate as set forth in Schedule A, the Client Arrangement, or on such other terms as may be agreed to by the parties in writing and thereby form part of Schedule A, the Client Arrangement." "Contractor is solely responsible for making any arrangements and for paying any and all expenses in connection with providing the services (including telephone, office supplies, document copying, facsimile transmission, postage and all types of insurance, as more fully described in section xxxx). Contractor will endeavor to own and utilize his/her own tools and equipment, to the extent appropriate, in performing the services." "It is anticipated that Contractor will perform services as an independent contractor and/or employee for parties other than Company during the time Contractor provides services to Company." "Contractor warrants that he/she is a sole proprietor, who is resident in Canada. Further, Contractor warrants and represents that he/she is duly registered and qualified to do business wherever necessary to carry out the terms of this Agreement. Acceptance of this Agreement does not constitute employment by Company or employment under the xxxxxx. The status of Contractor shall at all times remain that of an independent contractor."
