OIL & GAS EMPLOYMENT AGREEMENT The oil and gas industry is highly dependent upon the individuals who undertake the work, such that it is extremely important that the contractual arrangements between those individuals and the company need to be clearly defined and established. Such a contract needs to be appropriately negotiated and drafted such that each side is properly protected and capable of realize the most from this particular employment contract (while having the capacity to resolve problems and settle disputes). What should be noted is that employment agreements need to be particularized to the circumstances, given the unique aspects of each employment relationship. Particular aspects seen in such contracts have included: "During the term of this Agreement, the Employee shall devote such time and effort as is necessary to carry out his responsibilities to the Employer and shall not, during the term, be employed or engaged in any capacity in promoting, undertaking or carrying on any other business, or become a director of any other business without the prior written consent of the Employer." "The employee’s employment is contingent upon the successful completion of a probationary period, ending three (3) months from the effective date of this agreement. During this probationary period the Employer reserves the right to terminate the Employee’s employment without cause, for any reason, at any time, without notice or payment in lieu of notice." 'The Employee may, at any time during the term of this Agreement, give written notice to the Employer that their employment with the Employer shall terminate fourteen (14) days following the delivery of that notice (the "Resignation Date"). The Employer may direct the Employee to cease providing services prior to the Resignation Date but, in any event, the Employee shall not be entitled to any compensation whatsoever with regard to his employment or the termination of this Agreement, except only for: (a) Base Salary, the value of unused vacation, payment of claims submitted under any benefit plans and the reimbursement of expenses, in each case in relation to the period up to and including the Resignation Date and (b) the Employee shall NOT be entitled to any bonus payments." "Employee shall not at any time or in any manner, either directly or indirectly, divulge, disclose or communicate to any person, firm, corporation, or other entity in any manner whatsoever any information concerning any matters affecting or relating to the business of employer, including but not limited to any of its customers, the prices it obtains or has obtained from the sale of, or at which it sells or has sold, its products, or any other information concerning the business of employer, its manner of operation, its plans, processes, or other data without regard to whether all of the above-stated matters will be deemed confidential, material, or important, employer and employee specifically and expressly stipulating that as between them, such matters are important, material, and confidential and gravely affect the effective and successful conduct of the business of employer, and employer’s good will, and that any breach of the terms of this section shall be a material breach of this Agreement."
